Franchise is an increasingly common form of collaboration to exploit a brand or formula. Properly recording the relationships with franchisees is crucial for the success of the formula. We work for leading national and international but also starting franchise organizations and (interest groups of) franchisees. Thanks to more than 20 years of knowledge and experience in this field, we not only share our legal knowledge, but also practical and commercially relevant experiences as a sparring partner, adviser or litigation lawyer. Franchise and distribution development
There are a number of interesting recent developments in the field of franchise and distribution:
Franchise bill ‘on hold’
First of all, the franchise bill, on which an internet consultation was held in 2017, has been put ‘on hold’ in October 2017. In the coalition agreement Rutte III[1], which the new Dutch government presented on 10 October 2017, says about franchise:
Franchise prognoses: the dutch supreme court clarifies its standpoint, but it is not groundbreaking
On 24 February 2017, the Dutch Supreme Court (ECLI:NL:HR:2017:311) ruled that a franchisor can also act unlawfully when a prognosis drawn up by him/her contains errors, without the franchisor knowing of these errors.
Update about the dutch franchise code
For some time now, the franchise branch in the Netherlands has been busy working on the Dutch franchise code. Since the beginning of 2015, this has been done by a Drafting Committee consisting of two members representing franchisee interests, two members representing the interests of franchisors, and assisted in this by two members provided by the Ministry of Economic Affairs.
Self regulation process franchise
The franchise branch in the Netherlands is divided, there is insufficient support for the concept Dutch Franchise Code. Does the alternative DFA Franchise Code of Conduct perhaps offer a way out?
